These Terms of Service ("Terms") are entered into between you ("User" or "You") and TheMadHacker LLC ("TheMadHacker," "we," "us," or "our") for the AI LAX platform. By accessing or using AI LAX, you agree to be bound by these Terms. If you do not agree, do not use the service.

1. The Service

AI LAX is an AI-driven platform that enhances, analyzes, collects, and organizes microscope imagery — primarily from LAS X–based life-science microscopy systems — while preserving the core fidelity of the original data. We provide software tools, integrations, and support as described on our site and in your subscription plan.

2. Eligibility & Accounts

• You must be at least 18 years old and have the legal capacity to enter into these Terms.
• You are responsible for maintaining the confidentiality of your account credentials and all activity under your account.
• You agree to provide accurate, current information during registration and billing.

3. Permitted Use

AI LAX is intended for professional, research, and commercial use in life-science microscopy. You agree not to:

• Use AI LAX for any unlawful purpose or in violation of applicable laws.
• Reverse-engineer, decompile, or attempt to extract the source code or models of AI LAX.
• Use the service to produce fabricated, misleading, or unfaithful imagery intended to deceive peer review, regulators, or the public.
• Interfere with, disrupt, or compromise the security of the service or other users.
• Resell, sublicense, or redistribute AI LAX without a written agreement.

4. Intellectual Property

• Your data. You retain all rights to your imagery, metadata, and the results you generate. AI LAX does not claim ownership of your data.
• Our IP. AI LAX, its models, algorithms, branding, and documentation are the property of TheMadHacker and are licensed to you under these Terms, not sold.

5. Licensing

5.1 Subscription Plans

Subscription access begins on the effective date and continues until canceled, subject to the billing cycle you selected. We provide access per the feature set of your chosen plan.

5.2 Perpetual License

• A Perpetual License grants a one-time, non-exclusive, perpetual right to use AI LAX for the microscope(s) registered at purchase.
• The perpetual price includes 12 months of updates. Subsequent updates require a maintenance agreement, if offered.
• Perpetual licenses are non-transferable and non-refundable except as required by law.

6. Payment & Refunds

• Subscription fees are billed in advance on the cycle you selected.
• Perpetual licenses are billed as a single one-time payment.
• Subscription payments may be canceled for future cycles; prior payments are non-refundable unless otherwise required by law or as stated in our billing policy.

7. Warranties & Disclaimers

• AI LAX is provided "as is" and "as available" to the maximum extent permitted by law.
• We warrant that the service will perform materially in accordance with its documentation. We do not guarantee specific results, accuracy of AI outputs, or uninterrupted availability.
• AI LAX is a decision-support tool. It does not replace professional judgment, and TheMadHacker is not liable for scientific or commercial decisions made based on its output.

8. Limitation of Liability

To the maximum extent permitted by law, TheMadHacker shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or research, arising out of your use of the service. Our total liability arising from these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold TheMadHacker harmless from any claims, damages, or expenses arising from your use of the service, your violation of these Terms, or your violation of any third-party right.

10. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the platform. Continued use after changes constitutes acceptance.

11. Termination

We may suspend or terminate access for violation of these Terms. You may cancel your subscription at any time. Upon termination, your right to use the service ends, though our obligations regarding your data (see Privacy Policy) survive.

12. Governing Law

These Terms shall be governed by the laws of the jurisdiction in which TheMadHacker LLC is based, without regard to conflict-of-law provisions.
